Welcome to PodTrade, a social paper trading simulation platform operated by PodTrade Holdings LLC, a Wyoming limited liability company. By accessing or using our platform, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use PodTrade.

1. Acceptance of Terms

By creating an account, accessing, or using PodTrade in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. We may update these Terms from time to time, and your continued use of PodTrade after any changes constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years of age to use PodTrade. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are under 18, you may not use PodTrade under any circumstances.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, including your email address and password. One account per person. You agree to notify us immediately of any unauthorized access to or use of your account. PodTrade is not liable for any loss or damage arising from your failure to protect your account credentials.

4. Paper Trading Disclaimer

PodTrade is a simulated trading platform for educational purposes only. No real money is invested, traded, or at risk. All portfolio values, gains, losses, and transactions are fictional.

Pods are collaborative groups that trade simulated portfolios starting with $100,000 in paper money. All portfolio values, trades, positions, and P&L are simulated. Market data is provided by third-party sources and may be delayed or inaccurate. Simulated trading results are hypothetical and do not represent actual trading. There is no guarantee that simulated results will reflect or correlate with real market performance. Past simulated performance is not indicative of future results, whether simulated or real.

5. Not Financial Advice

Nothing on this platform constitutes financial advice, investment advice, trading advice, or any other sort of advice. You should not treat any of the platform’s content as such.

PodTrade does not recommend or endorse any particular securities, cryptocurrencies, trading strategies, or investment approaches. Any information provided on the platform — including stock prices, market data, AI-generated insights, and educational content — is for informational and educational purposes only.

6. Not a Broker-Dealer

PodTrade is not a registered broker-dealer, investment advisor, or financial institution. PodTrade is not registered with the SEC, FINRA, or any state securities regulatory authority.

PodTrade does not facilitate, execute, or process real securities transactions. No real securities are bought, sold, or held through the platform. If you wish to invest real money, consult a licensed financial professional and use a properly registered brokerage.

7. Intellectual Property

The PodTrade name, logo, and platform design are property of PodTrade Holdings LLC. All original content, features, and functionality are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our platform without prior written consent.

Content you create on the platform — including chat messages, proposals, and pod names — remains your intellectual property. By posting content, you grant PodTrade a non-exclusive, royalty-free license to use, display, and distribute that content within the platform.

8. User Conduct

You agree not to:

• Use automated systems, bots, or scripts to interact with the platform
• Attempt to manipulate simulated market prices, leaderboard rankings, or other platform data
• Harass, abuse, or threaten other users through chat or any platform feature
• Impersonate another person or misrepresent your identity
• Attempt to gain unauthorized access to the platform, other accounts, or our systems
• Use the platform for any unlawful purpose

9. Coach Pod (AI Features)

Coach Pod provides AI-generated educational insights only. Its suggestions are not financial advice and should not be relied upon for real investment decisions.

Coach Pod is powered by third-party AI technology (Anthropic). While we strive to provide helpful educational content, AI-generated responses may contain inaccuracies, outdated information, or errors. PodTrade does not guarantee the accuracy, completeness, or reliability of any AI-generated content.

10. Prediction Markets

Prediction market data is sourced from third-party providers (Polymarket). PodTrade does not operate prediction markets and is not responsible for the accuracy of odds or outcomes.

PodTrade imports publicly available prediction market data for educational and entertainment purposes only. PodTrade does not facilitate real-money betting or wagering of any kind.

11. Market Data

Stock and cryptocurrency price data is provided by third-party data providers (Alpaca Markets). While we strive to display accurate and timely data, PodTrade does not guarantee the accuracy, completeness, or timeliness of market data. Data may be delayed, inaccurate, or unavailable at times.

12. Limitation of Liability

To the maximum extent permitted by applicable law, PodTrade and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the platform.

PodTrade is not liable for any financial decisions you make based on simulated trading results, AI-generated insights, or any other content on the platform. You acknowledge that simulated trading is not a substitute for professional financial advice. In no event shall PodTrade’s total liability exceed $100.

13. Disclaimer of Warranties

PodTrade is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. Modification of Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify users through the platform or via email. Your continued use of PodTrade after the effective date of any changes constitutes acceptance of the modified Terms.

15. Termination

We may suspend or terminate your account and access to PodTrade at any time, with or without cause, and with or without notice. Upon termination, your right to use the platform ceases immediately. You may also delete your account at any time through the platform settings.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.

17. Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of PodTrade shall be resolved through binding arbitration in the State of Wyoming, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

19. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and PodTrade regarding your use of the platform and supersede any prior agreements.
